Summary: The Forest Preserves is seeking authorization to extend and increase its sole source agreement with the Village of Hoffman Estates (the “Village”) for the monitoring of fire alarm systems and associated equipment. The original agreement with the Village of Hoffman Estates was approved by the Forest Preserves of Cook County Board of Commissioners on 3/22/2016 (Board Item No. 16-0118). The agreement was then extended until 12/31/2025. It was also increased by $16,170.00 via an administrative increase and board approved increase (Board Item No. 20-0417).
Fees for services and the number of covered locations would remain the same as in the original contract. However, this contract with the Village is a form agreement that contains a continuous contract term. The agreement would allow for the Forest Preserves to terminate with thirty (30) days written notice. Although this amendment would authorize the Forest Preserves to agree to a continuous term, the Forest Preserves would still come back to the Board periodically for the authority to seek additional funds to pay for the Village’s services. Lastly, the agreement’s terms include non-standard provisions for the Forest Preserves, particularly with respect to limitations on liability, warranties, and indemnification, which includes an obligation to indemnify the vendor to the extent legally enforceable from certain third-party claims related to the vendor’s services obligations under the agreement.
